1. Introduction
These Terms of Service and Software Licence Agreement ("Terms") govern access to and use of the services provided by SolveX UK LTD, including:
SolveIQ
SolveLink
Related websites, applications and services
By accessing or using the Services, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or organisation, you confirm that you have authority to bind that organisation.
2. Definitions
Customer means the organisation subscribing to the Services.
User means an individual authorised by the Customer to access the Services.
Services means SolveIQ, SolveLink and any related services provided by SolveX.
Customer Data means any information, files, documents, images, communications or other content uploaded, stored or processed by the Customer through the Services.
3. Licence Grant
Subject to compliance with these Terms and payment of applicable fees, SolveX grants the Customer a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for its internal business purposes.
No ownership rights are transferred to the Customer.
4. Ownership and Intellectual Property
All intellectual property rights in the Services remain the exclusive property of SolveX.
This includes:
Software
Source code
Databases
Branding
Logos
Documentation
AI assistant functionality
User interface designs
Processes and methodologies
Nothing in these Terms transfers ownership of any intellectual property to the Customer.
5. Customer Data
The Customer retains ownership of all Customer Data.
The Customer grants SolveX a limited right to process Customer Data solely for the purpose of providing and maintaining the Services.
The Customer is responsible for ensuring it has all necessary rights, permissions and lawful authority to upload, store and process Customer Data within the Services.
6. Account Security
Customers are responsible for maintaining the confidentiality of account credentials.
Customers are responsible for all activity carried out using their accounts and authorised user accounts.
Customers must notify SolveX promptly if they become aware of any unauthorised access or security incident affecting their account.
7. Free Trial
SolveX may provide a free trial of the Services.
Unless otherwise agreed:
Free trials are limited to fourteen (14) days.
No payment details are required.
Trial users receive one host account only.
Additional user invitations are not permitted during the trial period.
Trial functionality may be limited.
Trials do not automatically convert into paid subscriptions.
At the end of the trial period, access may be restricted unless a paid subscription is activated.
8. Subscription and Billing
Subscriptions are provided on a monthly basis unless otherwise agreed.
Invoices are payable within thirty (30) days of issue.
If payment remains outstanding after thirty (30) days, SolveX may issue reminders and take reasonable steps to recover outstanding amounts.
Access to the Services may remain available for up to sixty (60) days following the invoice date.
SolveX reserves the right to suspend or terminate access where payment remains outstanding beyond this period.
Subscription fees are non-refundable except where required by law.
9. User Licences
Customers must maintain sufficient user licences for all individuals accessing the Services.
SolveX reserves the right to restrict access, require additional licence purchases or suspend accounts where usage exceeds purchased entitlements.
10. Acceptable Use
Customers and Users must not:
Use the Services for unlawful purposes.
Upload malicious code, malware or harmful content.
Attempt to gain unauthorised access to systems or data.
Interfere with the operation or security of the Services.
Reverse engineer, decompile or disassemble the Services.
Copy, reproduce or distribute the Services.
Resell, sublicense or commercially exploit the Services without written permission.
Create derivative works based on the Services.
Use the Services in a manner that could damage, disable or impair the platform.
SolveX may immediately suspend access where it reasonably believes a violation has occurred.
11. Email Integrations
The Services may allow Customers to connect third-party email accounts.
Customers are solely responsible for:
Maintaining authority to use connected email accounts.
The content of emails sent through the Services.
Compliance with applicable laws relating to electronic communications.
SolveX is not responsible for interruptions, restrictions or service changes imposed by third-party email providers.
12. AI Features
Certain features may utilise third-party artificial intelligence services.
AI-generated responses may be inaccurate, incomplete or unsuitable for a particular purpose.
Customers and Users are responsible for reviewing and validating all AI-generated information before relying upon it.
SolveX makes no warranty regarding the accuracy, reliability or suitability of AI-generated outputs.
Use of AI-generated content is entirely at the Customer's own risk.
13. Availability and Maintenance
SolveX will use reasonable efforts to make the Services available.
However, the Services are provided on an "as available" basis.
SolveX does not guarantee uninterrupted availability, error-free operation or any specific uptime level.
SolveX may perform:
Maintenance
Updates
Security improvements
Infrastructure changes
Emergency repairs
These activities may temporarily affect access to the Services.
14. Backups
SolveX may perform backup procedures as part of normal operations.
However, SolveX does not guarantee that backups will always be available, complete or recoverable.
Customers remain responsible for maintaining copies of any information they consider critical to their operations.
15. Third-Party Services
The Services may rely on third-party providers, integrations and infrastructure.
SolveX is not responsible for the availability, performance, policies or actions of third-party services.
Changes made by third-party providers may affect certain functionality of the Services.
16. Customer References
SolveX will not use a Customer's name, logo or branding in marketing materials, case studies or promotional content without prior written permission.
17. Limitation of Liability
To the maximum extent permitted by law, SolveX shall not be liable for:
Loss of profits
Loss of revenue
Loss of business opportunity
Loss of goodwill
Loss of anticipated savings
Indirect losses
Consequential losses
Special damages
The total liability of SolveX arising out of or relating to the Services shall not exceed the total fees paid by the Customer during the six (6) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
18. Suspension and Termination
SolveX may suspend or terminate access to the Services if:
Payment obligations are not met.
These Terms are breached.
Use of the Services creates a security risk.
The Services are used unlawfully.
Continued access may expose SolveX or other users to harm.
Customers may terminate subscriptions by providing notice in accordance with their subscription arrangement.
19. Data Retention Following Termination
Following termination of a subscription, SolveX may retain Customer Data for up to ninety (90) days.
During this period, Customers may request a reasonable export of their data.
Following the retention period, SolveX may permanently delete Customer Data without further notice.
20. Changes to the Services
SolveX reserves the right to modify, update, replace, suspend or discontinue features of the Services at any time.
SolveX may also amend pricing, subscription plans and service offerings from time to time.
Where practical, reasonable notice will be provided.
21. Changes to These Terms
SolveX may update these Terms from time to time.
Updated versions will be published on the relevant website or service.
Continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
22. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
